These Terms of Use (“Terms”) govern your access to and use of the websites operated by Marquantex LLC, a California limited liability company (“Marquantex,” “we,” “us,” or “our”), including backtestedstrategies.com and marquantex.com (together, the “Site”). By accessing or using the Site, you agree to these Terms. If you do not agree to these Terms, do not use the Site.

1) The Site and changes

We may modify, suspend, or discontinue any part of the Site at any time. The Site may include content, research write-ups, methodologies, examples, and downloadable materials (collectively, Content). Any new features or services that we add are also subject to these Terms.

2) Educational content only; no advice; no solicitation

The Site and Content are provided for educational and informational purposes only and do not constitute investment, trading, financial, tax, accounting, or legal advice. Nothing on the Site is a recommendation or solicitation to buy, sell, or hold any security or other financial instrument, or to implement any strategy. We do not know your objectives, financial situation, or risk tolerance, and the Site is not intended as individualized advice or as an offer to provide investment advisory services.

Backtests, models, examples, and performance figures, if shown, are hypothetical. They are based on historical data and a set of assumptions that may include data sources, execution rules, trading costs, and the treatment of cash and dividends. Results may not reflect taxes, advisory fees, platform fees, bid ask spreads, liquidity constraints, or other market frictions. Actual results from live trading may differ materially. Past performance, whether actual or simulated, is not indicative of future results, and no representation is made that any account will achieve similar results.

While we make good-faith efforts in preparing Content, we do not represent or warrant that any Content is complete, accurate, or current, and errors or omissions may exist. You are responsible for your own decisions. If you require advice about a specific investment or strategy, consult a qualified financial professional familiar with your circumstances and applicable laws and regulations.

3) Eligibility

You must be able to form a binding contract to use the Site. If you use the Site on behalf of an entity, you represent that you have authority to bind that entity to these Terms.

4) Intellectual property and permitted use

The Site and Content are owned by or licensed to Marquantex and are protected by intellectual property laws. Backtested Strategies is a trademark of Marquantex.

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site and Content for your personal, non-commercial use. Except as expressly permitted by these Terms, you may not copy, reproduce, distribute, publicly display, publicly perform, publish, transmit, create derivative works from, sell, rent, lease, lend, sublicense, or otherwise exploit the Site or Content without our prior written permission.

5) Acceptable use

You agree not to misuse the Site. In particular, you will not:

• violate any applicable law or infringe any third-party rights;
• attempt to gain unauthorized access to the Site or related systems, or interfere with security, integrity, or performance;
• introduce malware or otherwise use the Site to harm Marquantex, users, or third parties;
• scrape, crawl, or automate access in a manner that imposes unreasonable load or circumvents reasonable controls; or
• send spam, phishing attempts, or other unsolicited communications using or through the Site.

We may restrict or terminate access to the Site at our discretion, to the extent permitted by law

6) Strategy requests, suggestions, and feedback

The Site may allow you to submit strategy requests, suggestions, or feedback. Submitting a request does not obligate us to respond, create content, or publish anything. Do not submit confidential or proprietary information.

To the extent permitted by law, you agree that we may use, evaluate, and incorporate non-confidential ideas, requests, and feedback you submit without restriction and without compensation to you.

7) Third-party services and links

The Site may link to third-party services. We do not control and are not responsible for third-party content, services, or policies. Your use of third-party services is at your own risk and subject to their terms.

8) Disclaimers

The Site and Content are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, secure, or free of harmful components, or that Content will meet your needs.

9) Limitation of liability

To the maximum extent permitted by law, Marquantex and its affiliates, owners, employees, contractors, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or related to your use of, or inability to use, the Site or any Content, even if advised of the possibility of such damages.

To the maximum extent permitted by law, Marquantex’s total liability for any claim arising out of or related to the Site, Content, or these Terms will not exceed one hundred United States dollars. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

10) Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Marquantex and its affiliates, owners, employees, contractors, and agents from and against claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees arising out of or related to your misuse of the Site, your violation of these Terms, or your violation of any rights of another.

11) Governing law and venue

These Terms are governed by the laws of the State of California, without regard to conflict of laws principles. Except where prohibited by law, you agree that any dispute arising out of or relating to the Site, Content, or these Terms will be brought exclusively in the state or federal courts located in San Mateo County, California, and you consent to personal jurisdiction in those courts.

12) Changes to these Terms

We may assign these Terms, in whole or in part, at any time. You may not assign these Terms without our prior written consent. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver. Headings are for convenience only and do not affect interpretation. These Terms constitute the entire agreement between you and Marquantex regarding your use of the Site.
